READ THIS FIRST. plotcipher is decision-support software. It is not a substitute for licensed real estate, legal, engineering, surveying, appraisal, financial, or investment advice. Outputs of the Service — including AI-generated scores, recommendations, “Decision Hero” verdicts, comparable analyses, and memos — are estimates based on imperfect public data. You are solely responsible for independently verifying every data point and obtaining advice from qualified licensed professionals before making any real estate acquisition, financing, development, or offer decision. By using the Service you accept those risks.
These Terms of Service (“Terms”) are a binding contract between you (“you”) and Plot Cipher LLC, a Texas limited liability company with principal place of business at 5900 Balcones Drive Ste 100 Austin, Texas 78731 (“PlotCipher”, “we”, “our”, “us”), governing your access to and use of the PlotCipher website at plotcipher.com, the PlotCipher application (the “Platform”), and any related APIs, data feeds, exports, and outputs (together, the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms, the Privacy Policy, the Acceptable Use Policy, the AI Use Policy, the Cookie Notice, and the Refund & Cancellation Policy (all of which are incorporated by reference). If you do not agree, do not use the Service.
§14 (Disputes & Arbitration) contains a binding arbitration clause, class action waiver, and jury trial waiver. Read it carefully. You may opt out within 30 days of account creation per §14.G.
1. Eligibility & Account
- You must be at least 18 years old and able to form a binding contract.
- Professional use. You represent that you are accessing and using the Service in connection with your real estate investment, development, brokerage, or related professional activity, and not as a residential consumer. The Service is a professional tool intended for sophisticated real estate users.
- You represent that you are not subject to US economic sanctions, are not on any US Government denied-party list, and will not access the Service from any country subject to comprehensive US embargo.
- You must provide accurate, current information when registering and keep it updated.
- Accounts are personal and non-transferable. You may not share account credentials. We recommend enabling multi-factor authentication when available.
- You must notify us within twenty-four (24) hours of discovering any unauthorized use of your account. We are not responsible for losses occurring before notification.
- If you are using the Service for an entity, you represent that you have authority to bind that entity.
2. The Service
PlotCipher provides software-as-a-service tools for discovering, evaluating, and tracking real estate acquisition opportunities. Features may include: parcel intelligence, opportunity scoring, market analytics, AI-generated memos, mapping tools, pipeline tracking, deal rooms, and data exports.
We may modify, suspend, or discontinue any feature at any time. We will provide reasonable advance notice of material reductions in functionality affecting paid subscriptions.
Beta Features.Features marked “beta,” “preview,” “experimental,” or similar are provided “as is” without any warranty and may be removed without notice. Beta outputs are not reliable and must not be used for any acquisition decision.
3. Data Sources — Important Source Disclaimers
The Service aggregates and presents data drawn from public sources, third-party providers, and proprietary computation. None of the following sources is warranted accurate or complete:
- Dallas Central Appraisal District (DCAD) and other appraisal-district records, including parcel boundaries, owner names, account numbers, improvement-vacant flags, and assessed values;
- Geographic Information System (GIS) data, including parcel polygons, shape areas, frontage measurements, adjacent-parcel counts, and centroid coordinates — these have known error margins (typically ±5–30 feet for parcel boundaries);
- FEMA flood maps, which may not reflect recent revisions or local detail;
- Municipal zoning classifications, which we receive in raw form and which may be out-of-date, mis-coded, or subject to overlays we do not display;
- Mapping providers (e.g., Mapbox), whose imagery and basemaps may not reflect current ground truth;
- Comparable-sale data drawn from public deed records or licensed providers, which may not capture private-sale terms, concessions, or seller financing;
- Third-party AI providers whose outputs (memos, summaries, recommendations) may contain errors or “hallucinations”.
You acknowledge that public records and third-party data are frequently wrong, stale, or incomplete. Before any acquisition, offer, financing, or development decision, you must independently verify the underlying data with the issuing source and consult licensed professionals.
4. Owner Information & Third Parties
The Service may display owner names and entity information drawn from public real-property records. Those individuals and entities are not parties to these Terms. You agree to use owner information only for lawful real estate purposes and not in any manner that violates the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state Do-Not-Call lists, state anti-skip-trace laws, or fair housing laws.
No consumer-reporting / FCRA use.PlotCipher is not a consumer reporting agency, and the Service and its outputs (including scores, memos, and recommendations) are not a “consumer report.” You will not use the Service or any output for tenant screening, consumer credit decisions, residential mortgage underwriting, employment, insurance eligibility, or any other purpose that triggers the Fair Credit Reporting Act (FCRA), the Equal Credit Opportunity Act (ECOA), or the Fair Housing Act (FHA).
You may not use owner data displayed in the Service to build commercial databases for resale, to enable mass unsolicited communication, or for any use prohibited by the Acceptable Use Policy.
5. AI-Generated Outputs — Disclaimer of Reliance
Many outputs of the Service — including but not limited to Investment Scores, Upside/Buildability/Acquirability/Exit dimensions, Acquisition Memos, the Decision Hero verdict, Likely Seller signals, Why Now scoring, Outreach drafts, Diligence Checklists, Confidence percentages, market narratives, and assemblage analyses— are produced or substantially augmented by machine learning models and large language models (collectively, “AI Outputs”).
- AI Outputs may be wrong. Language models can produce plausible-sounding text that is inaccurate, fabricated, or misleading. Numerical scores can be skewed by data gaps. Recommendations may be unsuitable for your particular situation.
- No professional advice. AI Outputs are not legal, investment, financial, tax, accounting, appraisal, engineering, surveying, environmental, planning, brokerage, lending, or insurance advice. PlotCipher is not licensed in any of these fields and does not establish a fiduciary, broker, principal, or agency relationship with you.
- No automated decision-making with legal effect. The Service does not make decisions that produce legal or similarly significant effects concerning you. All decisions about pursuing, valuing, financing, contracting for, or developing any property are made solely by you.
- Verification required. You agree that before relying on any AI Output for any real-world action (including offers, contracts, financing, design, or development), you will independently verify the underlying data, consult licensed professionals, and apply your own judgment.
- No warranty of accuracy. We make no warranty that any AI Output is correct, complete, current, suitable for any purpose, or non-infringing.
6. Real Estate Specific Disclaimers
You acknowledge and agree that the Service does not:
- verify parcel boundaries (you must obtain a licensed survey);
- verify zoning, FAR, density, setback, parking, or use entitlements (you must verify with the applicable jurisdiction and a licensed land-use attorney);
- verify environmental conditions, soil suitability, or hazards (Phase I/II ESAs are your responsibility);
- verify title, ownership chain, liens, easements, or encumbrances (you must obtain a title report);
- verify utility availability, capacity, or tap fees;
- determine market value (you must obtain a licensed appraisal);
- determine development feasibility, construction cost, or buildable yield;
- guarantee that any “deal” surfaced by the Service will be available for purchase, profitable, or financeable;
- provide tax, accounting, or legal advice.
Any reference in the Service to potential buildout (e.g., “14 townhomes,” FAR figures, capacity-per-dollar, capacity-per-acre, or maximum-yield outputs) is an algorithmic estimate based on raw zoning text and may be entirely wrong for your specific parcel. Do not bid based on these estimates without licensed verification.
7. Subscription, Auto-Renewal, Billing & Cancellation
Paid plans are sold on a subscription basis with the term, price, and renewal frequency shown at checkout. By subscribing, you authorize PlotCipher and our payment processor (Stripe) to charge your designated payment method (i) the initial subscription fee, (ii) all renewals at the then-current rate, and (iii) any applicable taxes.
AUTO-RENEWAL DISCLOSURE (Cal. Bus. & Prof. Code §17600 et seq.).Your subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current price unless and until you cancel. Cancellation takes effect at the end of the then-current billing period. To cancel: open Settings → Billing → Manage billing, click “Cancel subscription,” or email mark@tryplotcipher.com. After cancellation you will receive a confirmation email. California subscribers also receive a renewal reminder no earlier than 15 days and no later than 45 days before the renewal date for annual plans, as required by §17602.
Refunds. Subscription fees are non-refundable except where required by law or as described in the Refund & Cancellation Policy. We offer a 14-day money-back guarantee for first-time monthly subscribers; see the Refund Policy for details.
Free trials. If a free trial is offered, your payment method will be charged the then-current subscription price at the end of the trial unless you cancel before the trial ends. The duration, pricing, and cancellation method will be conspicuously disclosed before checkout.
Price changes.We may change subscription pricing with at least thirty (30) days' advance notice to your account email. Continued use after the change constitutes acceptance.
Failed payments. If a renewal payment fails, we may suspend or downgrade your account after reasonable retries.
Enterprise / order forms. Enterprise customers receive a separate written order form which controls in case of conflict with these Terms.
8. Acceptable Use
You agree to use the Service only in compliance with applicable law and with the Acceptable Use Policy, which is incorporated by reference. Prohibited activities include, without limitation:
- scraping, crawling, mass-downloading, or systematically extracting data except via our published API at the limits we set;
- reverse engineering, decompiling, or attempting to derive source code or model weights;
- reselling, sublicensing, or redistributing PlotCipher data without a separate written agreement;
- using the Service to violate fair-housing or anti-discrimination laws;
- using AI-drafted owner outreach in violation of TCPA, CAN-SPAM, state Do-Not-Call lists, state unauthorized-practice-of-law (UPL) rules, or state real-estate licensing requirements;
- uploading malicious code or attempting to disrupt the Service or others' accounts;
- using the Service to surveil, harass, dox, or threaten any individual;
- using the Service in a manner intended to compete with PlotCipher.
We may suspend or terminate accounts that violate this section without prior notice.
9. Intellectual Property
Our IP. PlotCipher and its licensors retain all right, title, and interest in and to the Service, including all software, scores, models, user interfaces, designs, taxonomies, trademarks, and aggregated and derived data. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own real estate diligence and operations during your subscription term.
Your Content. You retain ownership of content you upload (deal notes, room contents, outreach log entries, saved deals, uploaded documents). You grant us a worldwide, royalty-free, non-exclusive license to host, process, transmit, and display your content solely to operate the Service for you and your invited collaborators, and to improve the Service in aggregated, de-identified form.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use the feedback without restriction.
AI Outputs. Subject to your subscription remaining in good standing, you may use AI Outputs internally for your own real estate purposes. You may not (i) use them to train competing AI models, (ii) represent them as your own original work to third parties without acknowledgment of source where commercially material, or (iii) resell them.
Trademarks.“PlotCipher” and our logos are our trademarks. You may not use them without our prior written consent.
10. Deal Rooms, Sharing & Collaboration
Deal Rooms allow you to invite collaborators (members, viewers) and optionally enable a public Share Link. When a public Share Link is enabled, anyone with the link may view the room until you disable or rotate it. You are responsible for the appropriateness of any content you share. We may disable a share link if we have reasonable basis to believe it is being used to violate these Terms.
11. Disclaimers — “As Is”
Except as expressly stated in these Terms, the Service, including all data, scores, outputs, and AI Outputs, is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, PlotCipher and its licensors disclaim all warranties, express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, currency, non-infringement, title, system integration, and quiet enjoyment.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any data displayed will be accurate.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will PlotCipher, its affiliates, or its licensors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or relating to the Service or these Terms, even if PlotCipher has been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the lesser of (a) the fees you paid us in the six (6) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
Carve-outs. The above limitations do not apply to: (i) your indemnification obligations; (ii) your violation of §9 (Intellectual Property) or §8 (Acceptable Use); (iii) your unpaid fees; or (iv) liability that cannot be limited under applicable law.
Basis of the bargain. You acknowledge that the disclaimers and limitations in §11 and §12 are an essential basis of the bargain between you and PlotCipher and would not be willing to provide the Service to you on the agreed pricing without them.
13. Indemnification
You agree to defend, indemnify, and hold harmless PlotCipher, its affiliates, officers, directors, employees, agents, and licensors from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in violation of these Terms or applicable law; (b) your Content; (c) your real estate decisions, transactions, or communications based on the Service; (d) your use of AI Outputs or owner data; or (e) your violation of any third party's rights, including intellectual property or privacy rights.
We will give you prompt written notice of any claim, allow you to control the defense and settlement (provided you do not settle any claim requiring an admission of liability or non-monetary remedy on our part without our consent), and cooperate at your expense. We reserve the right to participate at our own expense with counsel of our choosing.
14. Disputes — Binding Arbitration & Class Action Waiver
READ THIS SECTION CAREFULLY. It limits how you can bring a dispute to us and limits the relief you may obtain. You may opt out within 30 days of account creation — see §14.G.
A. Informal Resolution First
Before filing arbitration, you and PlotCipher must first try to resolve the dispute by sending a written notice (“Notice of Dispute”) describing the claim and requested relief. Notice to PlotCipher must be sent to mark@tryplotcipher.com. The parties will negotiate in good faith for at least sixty (60) days before filing arbitration.
B. Binding Individual Arbitration
If the dispute is not resolved through informal resolution, it will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Rules for non-consumer disputes), available at www.adr.org. The arbitration will be conducted by a single arbitrator in Dallas County, Texas (or by remote / written submission at your election if you are an individual consumer). The arbitrator's decision is final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
C. Class Action & Jury Trial Waiver
You and PlotCipher each waive the right to a jury trial and the right to bring or participate in any class, collective, consolidated, or representative action. The arbitrator may only award relief in favor of the individual party seeking it and only to the extent necessary to provide relief warranted by that party's individual claim.
D. Mass Arbitration Protection
If twenty-five (25) or more individually-filed arbitration demands are filed against PlotCipher by or with the assistance of the same counsel or coordinated counsel within a sixty (60) day period, all such demands will be administered in batches of fifty (50) cases at a time, with each batch resolved on a staged schedule. PlotCipher will not be required to pay filing fees in excess of those required for the first batch of cases until prior batches have been resolved.
E. Carve-Outs for Court
Notwithstanding the above, either party may bring:
- an individual action in small-claims court in Dallas County, Texas;
- an action in court to obtain temporary or preliminary injunctive relief to protect intellectual property or confidential information.
F. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. For any matter not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Dallas County, Texas.
G. Right to Opt Out
You may opt out of the arbitration and class-action waiver in this §14 by sending written notice to mark@tryplotcipher.com within thirty (30) days of first accepting these Terms. The notice must include your name, account email, and an unambiguous statement that you opt out. Opting out does not affect any other provision of these Terms.
15. Term, Suspension & Termination
These Terms are effective until terminated. We may suspend or terminate your account at any time for: violation of these Terms, suspected fraud, non-payment, risk to the Service or other users, or as required by law. You may close your account at any time via Settings.
Survival. Sections 4 (Owner Information), 5 (AI Outputs), 6 (Real Estate Disclaimers), 8 (Acceptable Use), 9 (IP), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Disputes), 17 (DMCA), and 18 (General) survive any termination.
Data export after termination. You may export saved deals, rooms, and pipeline data for thirty (30) days following termination by emailing mark@tryplotcipher.com. We may delete account data thereafter consistent with the Privacy Policy.
16. Force Majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, government action, denial-of-service attacks, internet or telecommunications failures, electrical-grid failures, supply-chain disruptions affecting our cloud providers, or pandemic.
17. Copyright (DMCA)
PlotCipher complies with the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe content on the Service infringes your copyright, send a written notice containing the elements required by §512(c)(3) to our Designated Copyright Agent:

We may remove allegedly infringing content and terminate repeat infringers. False notices are subject to penalties under §512(f). See our DMCA Notice page for the full procedure including counter-notification.
18. General
- Entire Agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and PlotCipher concerning the Service and supersede prior agreements on the subject.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full effect; an unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
- No Waiver. Our failure to enforce a provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
- Notices to You. We may send notices via the email associated with your account or in-app.
- Notices to Us. Legal notices must be sent to mark@tryplotcipher.com, with a copy to Plot Cipher LLC, 5900 Balcones Drive Ste 100, Austin, Texas 78731.
- Government Use. The Service is “commercial computer software” under FAR 12.212 and DFARS 227.7202; rights are limited as set forth in these Terms.
- Export Controls. You will comply with all US export and sanctions laws and not export the Service or related technology to any prohibited country, entity, or person.
- Independent Contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship.
- Updates. We may update these Terms; material changes will be communicated at least thirty (30) days in advance by email or in-app notice. Continued use after the effective date constitutes acceptance. The version applicable at the time of your most recent acceptance governs disputes arising from prior conduct.
